Terms and Conditions of Use

By using Halot (operated by Oihu Technologies S.L.), you accept these Terms and Conditions in full. Please read them carefully.
CLAUSE X. Nature of the Contractual Relationship
X.1. Digital Intermediation
Oihu Technologies S.L. acts exclusively as a digital intermediation platform that facilitates contact between Clients (digital product creators) and Testers (specialized testers). The contractual relationship is established directly between Client and Tester. Halot is not the employer, principal, or contractor of Testers.
X.2. Autonomy and Independence
Testers operate with complete autonomy and independence:
- Absolute freedom to accept or reject any job posted on the platform.
- No obligation to accept a minimum number of jobs or maintain minimum availability.
- No subordination relationship, fixed schedules, or instructions on how to organize their time.
- Tester decides when, how, and where to conduct tests, always within the agreed deadline.
X.3. Own Resources
Testers use their own material and technical resources (computers, phones, internet connection, etc.) to conduct tests. Halot does not provide equipment, except in exceptional cases of physical product testing sent by the Client.
X.4. Tax and Labor Responsibility
Testers are responsible for:
- Registering with the appropriate Social Security regime (RETA, General Regime, etc.).
- Issuing invoices for their services and declaring their income to Tax Authorities (Income Tax/VAT).
- Verifying the compatibility of their activity with any benefits, subsidies, or pensions they are receiving.
- Halot does not withhold income tax or contribute to Social Security on behalf of Testers.
CLAUSE Y. Intellectual Property and Confidentiality
Y.1. Transfer of Rights
All reports, comments, suggestions, screenshots, and other materials generated by the Tester during testing are the exclusive property of the Client. The Tester transfers all intellectual property rights over such materials in an unlimited, worldwide, and royalty-free manner.
Y.2. No Rights to the Product
The Tester acquires no intellectual property rights, economic participation, or copyright over the tested product or service.
Y.3. Strict Confidentiality
The Tester agrees to:
- Not disclose screenshots, product descriptions, or information about the Client on social media, forums, blogs, or any other public medium.
- Not use information obtained during testing for competitive or commercial purposes.
- Destroy or return any confidential material upon completion of the test.
- This obligation remains in effect even after the contractual relationship ends.
Y.4. Penalty for Non-Compliance
Breach of these confidentiality obligations may result in: permanent suspension of the Tester's account and claim for damages by the Client.
CLAUSE Z. Limitation of Liability
Z.1. Platform Liability Exemption
Halot assumes no responsibility for: defects, errors, or failures in products under testing, damages caused by using defective or dangerous products, loss of data or information during testing. The Tester accepts jobs under the principle of "at your own risk".
Z.2. Client Responsibility
The Client guarantees that: the product sent is safe and poses no risks to the Tester's health or integrity, or has expressly warned of the risks in the job description.
Z.3. Physical Product Custody
In case of physical product testing:
- Normal wear from use generates no liability for the Tester.
- The Tester is responsible for loss, theft, or damage due to gross negligence, and must compensate the declared value of the product.
- The product must be returned within a reasonable time after completing the test, unless the Client indicates otherwise.
CLÁUSULA D. Política de Aceptación y Resolución de Disputas
D.1. Definición de "Trabajo Completo"
Se considera que el trabajo está completo cuando el Tester entrega todos los entregables especificados en las "Instrucciones Específicas" del trabajo (por ejemplo: informe escrito, vídeo de prueba, lista de errores encontrados).
D.2. Plazo de Validación Automática
Si el Cliente no responde en un plazo de 72 horas (trabajos <€100) o 5 días laborables (trabajos ≥€100) desde la entrega, el trabajo se considerará aceptado automáticamente y los fondos se liberarán al Tester.
D.3. Rechazo Justificado
El Cliente solo puede rechazar un trabajo por:
- Incumplimiento objetivo de las "Instrucciones Específicas" (por ejemplo: se pidió un vídeo de 10 minutos y se entregó uno de 2 minutos).
- Contenido claramente falso o generado sin realizar la prueba real (por ejemplo: informe de bugs copiado de Internet).
Nota: Rechazos subjetivos como "no me gusta el tono del informe" no son válidos si se cumplieron las instrucciones.
D.4. Arbitraje de TesterX
En caso de disputa, TesterX revisará las evidencias (descripción del trabajo, entregables, capturas de pantalla) y tomará una decisión vinculante sobre la liberación de fondos. La decisión se notificará en un plazo de 7 días laborables.
D.5. Política de Cancelación por el Cliente
Si el Cliente cancela un trabajo después de que el Tester haya comenzado (definido como "ha accedido al producto o ha enviado algún entregable parcial"), deberá abonar un porcentaje del precio según el avance realizado.
CLÁUSULA E. Derecho de Desistimiento (Art. 103 LGDCU)
E.1. Contratación entre Empresas (B2B)
Si el Cliente es una empresa o profesional (no consumidor final), no tiene derecho de desistimiento conforme al artículo 3 LGDCU.
E.2. Contratación con Consumidores (B2C)
Si el Cliente es un consumidor (persona física actuando fuera de su actividad comercial), tiene derecho a desistir en 14 días, EXCEPTO en los siguientes casos del artículo 103 LGDCU:
- Art. 103.a) Servicios ejecutados completamente: Si el Tester ha entregado el informe/vídeo/resultado final, el Cliente pierde el derecho de desistimiento.
- Art. 103.m) Contenido digital descargado/accedido: Si el Cliente ha descargado o accedido al contenido entregado (por ejemplo, abrió el archivo del informe), pierde el derecho de desistimiento.
E.3. Manifestación Expresa del Consumidor
Para acogerse a las excepciones anteriores, el Cliente debe marcar la siguiente casilla al contratar:
"Entiendo que al tratarse de un servicio digital de ejecución inmediata, pierdo mi derecho de desistimiento (14 días) una vez que el Tester haya entregado el trabajo, conforme al artículo 103.a) y 103.m) de la Ley General para la Defensa de los Consumidores y Usuarios."
CLÁUSULA F. Gestión de Pagos y Relación con Stripe
F.1. Proveedor de Servicios de Pago
Los pagos en TesterX son procesados por Stripe Payments Europe Ltd., entidad autorizada y regulada por el Banco Central de Irlanda. TesterX no custodia directamente los fondos, sino que actúa como facilitador de la plataforma Stripe Connect.
F.2. Creación de Cuenta Conectada de Stripe
Para recibir pagos como Tester, debes crear una Cuenta Conectada de Stripe (Stripe Connected Account). Al hacerlo, aceptas los Términos de Servicio de Stripe Connect Account Agreement. TesterX no es responsable de las decisiones de Stripe respecto a la aprobación o bloqueo de cuentas.
F.3. Mandato de Gestión de Fondos (Escrow)
Al publicar un trabajo, el Cliente autoriza a TesterX a instruir a Stripe para:
- Bloquear los fondos en "escrow" (depósito en garantía) al inicio del trabajo.
- Liberar los fondos al Tester una vez validado el trabajo.
- Devolver los fondos al Cliente si la disputa se resuelve a su favor.
- Descontar automáticamente la comisión de TesterX (ver apartado F.5).
F.4. Verificación de Identidad (KYC)
Stripe puede solicitarte que verifiques tu identidad mediante documentos oficiales (DNI, NIE, pasaporte) para cumplir con las normativas de prevención de blanqueo de capitales (AML/KYC). TesterX no es responsable si Stripe bloquea tu cuenta por falta de verificación.
F.5. Facturación de la Comisión
TesterX cobra una comisión del 10-15% (según el nivel del Tester) sobre el precio final del trabajo. Esta comisión se descuenta automáticamente antes de liberar los fondos al Tester. TesterX emite una factura por esta comisión conforme a la normativa española (IVA aplicable).
Resolución de Litigios en Línea (ODR)
Conforme al artículo 14.1 del Reglamento (UE) 524/2013, los usuarios pueden acceder a la plataforma de resolución de litigios en línea de la Unión Europea en:https://consumer-redress.ec.europa.eu/odr/
CLAUSE D. Acceptance and Dispute Resolution Policy
D.1. Definition of "Complete Work"
Work is considered complete when the Tester delivers all deliverables specified in the job's "Specific Instructions" (e.g., written report, test video, list of bugs found).
D.2. Automatic Validation Period
If the Client does not respond within 72 hours (jobs <€100) or 5 business days (jobs ≥€100) from delivery, the work will be considered automatically accepted and funds will be released to the Tester.
D.3. Justified Rejection
The Client may only reject work for:
- Objective non-compliance with "Specific Instructions" (e.g., a 10-minute video was requested and a 2-minute one was delivered).
- Clearly false content or generated without actual testing (e.g., bug report copied from the Internet).
Subjective rejections like "I don't like the report's tone" are not valid if instructions were followed.
D.4. Halot Arbitration
In case of dispute, Halot will review evidence (job description, deliverables, screenshots) and make a binding decision on fund release. The decision will be notified within 7 business days.
D.5. Client Cancellation Policy
If the Client cancels a job after the Tester has begun (defined as "has accessed the product or submitted any partial deliverables"), they must pay a percentage of the price based on progress made.
CLAUSE E. Right of Withdrawal (Applicable to Consumers - Art. 103 LGDCU)
E.1. Business-to-Business (B2B) Contracting
If the Client is a business or professional (not end consumer), they have no right of withdrawal under Article 3 LGDCU.
E.2. Consumer Contracting (B2C)
If the Client is a consumer (individual acting outside their commercial activity), they have the right to withdraw within 14 days, EXCEPT in the following cases under Article 103 LGDCU:
- Art. 103.a) Fully executed services: If the Tester has delivered the final report/video/result, the Client loses the right of withdrawal.
- Art. 103.m) Digital content downloaded/accessed: If the Client has downloaded or accessed the delivered content (e.g., opened the report file), they lose the right of withdrawal.
E.3. Express Consumer Acknowledgment
To benefit from the above exceptions, the Client must check the following box when contracting:
"I understand that as this is an immediately executed digital service, I lose my right of withdrawal (14 days) once the Tester has delivered the work, in accordance with Article 103.a) and 103.m) of the General Law for the Defense of Consumers and Users."
CLAUSE F. Payment Management and Relationship with Stripe
F.1. Payment Service Provider
Payments on Halot are processed by Stripe Payments Europe Ltd., an entity authorized and regulated by the Central Bank of Ireland. Halot does not directly custody funds but acts as a facilitator for the Stripe Connect platform.
F.2. Stripe Connected Account Creation
To receive payments as a Tester, you must create a Stripe Connected Account. By doing so, you accept the Stripe Connect Account Agreement Terms of Service. TesterX is not responsible for Stripe's decisions regarding account approval or blocking.
F.3. Funds Management Mandate (Escrow)
When posting a job, the Client authorizes Halot to instruct Stripe to:
- Block funds in escrow at the start of the job.
- Release funds to the Tester once the work is validated.
- Return funds to the Client if the dispute is resolved in their favor.
- Automatically deduct Halot's commission (see section F.5).
F.4. Identity Verification (KYC)
Stripe may request you to verify your identity through official documents (ID, passport) to comply with anti-money laundering regulations (AML/KYC). Halot is not responsible if Stripe blocks your account for lack of verification.
F.5. Commission Billing
Halot charges a commission of 10-15% (depending on the Tester's level) on the final job price. This commission is automatically deducted before releasing funds to the Tester. Halot issues an invoice for this commission in accordance with Spanish regulations (VAT applicable).
Online Dispute Resolution (ODR)
In accordance with Article 14.1 of Regulation (EU) 524/2013, users can access the European Union's online dispute resolution platform at:EU ODR Platform
